Welcome to Salubell. The terms “we,” “us,” and “our” refer to SALUBELL PHARMA, S.L. (hereinafter, “Salubell”), a Spanish company with Tax ID No. B30752646 and registered address at Avda. del Carbono 44, Los Camachos Industrial Park, 30369 Cartagena, Murcia, Spain.

Salubell operates this store and website, including all related information, content, features, tools, products, and services, to provide you, the customer, with a curated shopping experience (the “Services”). Salubell uses Shopify technology to provide the Services.

The following terms and conditions, together with all policies referenced herein (the “Terms of Service” or “Terms”), describe your rights and responsibilities when using the Services.

Please read these Terms of Service carefully, as they contain important information about your legal rights. By viewing, interacting with, or using our Services, you agree to comply with these Terms of Service and our Privacy Policy. If you do not agree to these Terms of Service or the Privacy Policy, you must not use our Services.

SECTION 1: ACCESS AND ACCOUNT

By agreeing to these Terms of Service, you represent that you are at least the age of majority in your country of residence.

To use the Services, including accessing or browsing our online store or purchasing any product or service we offer, you may be required to provide certain information, such as your email address, billing address, payment method, and shipping address. You represent and warrant that all information you provide is accurate, current, and complete, and that you have all necessary rights to provide it.

You are solely responsible for maintaining the security of your account credentials and for all activity conducted through your account. You may not transfer, sell, assign, or license your account to another person.

SECTION 2: OUR PRODUCTS

We have made every effort to display our products and services as accurately as possible in our online store. However, please note that product colors or appearance may differ from how they appear on your screen due to the device you use to access the store and its settings.

We do not guarantee that the appearance or quality of any products or services you purchase will be identical to those displayed in our online store.

All product descriptions are subject to change at any time without prior notice, at our sole discretion. We reserve the right to discontinue any product at any time and may limit the quantities of products offered to any person, geographic region, or jurisdiction, as applicable.

SECTION 3: ORDERS

When you place an order, you are making an offer to purchase. Salubell reserves the right to accept or reject your order for any reason at its sole discretion. Your order will not be considered accepted until Salubell confirms its acceptance by email. We must receive and process your payment before accepting your order.

We recommend reviewing your order carefully before confirming it, as Salubell may be unable to accommodate cancellation requests once the order has been accepted and preparation has begun. If we reject, modify, or cancel an order, we will attempt to notify you using the email address or telephone number provided when the order was placed.

Your purchases are subject to returns in accordance with our Returns and Refunds Policy.

You represent and warrant that your purchases are solely for personal or household use and not for resale or commercial export.

SECTION 4: PRICING AND BILLING

Prices, discounts, and promotions are subject to change without prior notice. The price charged for a product or service will be the price in effect at the time the order is placed and will be shown in the confirmation email you receive. All prices are displayed in euros and include applicable VAT unless expressly stated otherwise. Shipping costs will be shown separately before you confirm your order.

Prices published in our online store may differ from those offered through other channels or stores operated by third parties. Promotions are governed by their own terms and conditions. In the event of a conflict with these Terms, the terms of the applicable promotion will prevail.

For all purchases made through our store, you agree to provide current, complete, and accurate payment and account information. You agree to promptly update your account information, including your email address and payment card details, so that we can complete your transactions and contact you as necessary.

You represent and warrant that: (i) the payment information you provide is true, accurate, and complete; (ii) you are duly authorized to make the purchase using the stated payment method; and (iii) you will pay all amounts corresponding to the published prices, including applicable shipping costs and taxes.

SECTION 5: RIGHT OF WITHDRAWAL

In accordance with Spanish and European consumer protection regulations, including Royal Legislative Decree 1/2007 and Directive 2011/83/EU, you have the right to withdraw from the contract within 14 calendar days of receiving the product, without providing any reason.

To exercise your right of withdrawal, you must notify us before the end of this period by contacting clientes@salubell.com or using the contact details provided in Section 24. Once you have notified us of your withdrawal, you will have an additional 14 calendar days to return the product.

The exercise of the right of withdrawal is subject to the terms and exceptions set out in our Returns and Refunds Policy, available in our online store. In particular, the right of withdrawal may not be exercised for products that have been unsealed or opened after delivery for hygiene or health protection reasons where the consumer has removed the seal.

SECTION 6: SHIPPING AND DELIVERY

Any stated delivery times are estimates and do not constitute guaranteed deadlines. We are not responsible for delays caused by shipping carriers, customs processing, or circumstances beyond our control. Once the products have been handed over to the carrier, the risk of loss or damage transfers to you, except where applicable consumer protection law provides otherwise.

SECTION 7: INTELLECTUAL PROPERTY

Our Services, including, without limitation, trademarks, text, images, graphics, video, audio, and the design, selection, and arrangement thereof, are owned by Salubell, its affiliates, or its licensors and are protected by Spanish and international copyright and intellectual property laws.

These Terms allow you to use the Services solely for personal, non-commercial purposes. You may not reproduce, distribute, modify, copy, publicly display, republish, download, store, or transmit any material included in the Services without our prior written consent.

The Salubell name, logos, product and service names, designs, and slogans are trademarks of Salubell, its affiliates, or its licensors. You may not use these trademarks without Salubell’s prior written consent.

SECTION 8: OPTIONAL TOOLS

As part of the Services, you may be given access to tools provided by third parties over which we have no direct supervision or control. You acknowledge and agree that we provide access to these tools “as is” and “as available,” without warranties of any kind. We will not be liable for any issues arising from your use of optional third-party tools.

SECTION 9: THIRD-PARTY LINKS

The Services may contain hyperlinks to websites operated by third parties. We are not responsible for the accuracy or content of such websites. If you choose to access them, you do so at your own risk. We recommend carefully reviewing the policies and terms of any third party before entering into any transaction with them.

SECTION 10: RELATIONSHIP WITH SHOPIFY

Salubell uses Shopify technology to provide the Services. However, all sales and purchases made through our store are conducted directly with Salubell. By using the Services, you acknowledge and agree that Shopify is not responsible for any aspect of the sales transactions between you and Salubell. You expressly release Shopify and its affiliates from any claims, damages, and liabilities arising from your purchases and transactions with Salubell.

SECTION 11: PRIVACY POLICY

All personal information we collect through the Services is subject to our Privacy Policy, available in our online store. By using the Services, you acknowledge that you have read and accepted this policy.

SECTION 12: COMMENTS AND REVIEWS

If you submit, post, or transmit ideas, suggestions, comments, reviews, or other content (collectively, “Comments”), you grant us a perpetual, worldwide, sublicensable, royalty-free license to use, reproduce, modify, publish, distribute, and display those Comments in any media and for any purpose related to providing and improving the Services.

You represent and warrant that: (i) you own all necessary rights to the Comments; (ii) you have disclosed any compensation or incentive received in connection with their submission; and (iii) your Comments comply with these Terms and do not infringe any third-party rights.

We may, but are not obligated to, monitor, edit, or remove Comments that we determine are unlawful, offensive, defamatory, obscene, or infringe the intellectual property rights of any party.

SECTION 13: ERRORS, INACCURACIES, AND OMISSIONS

From time to time, information in the Services may contain typographical errors, inaccuracies, or omissions relating to product descriptions, pricing, promotions, shipping charges, or availability. We reserve the right to correct any error or inaccuracy and to change or update information at any time without prior notice. If an already confirmed order is affected by a significant pricing error, we will notify you and offer you the option to proceed with the order at the correct price or cancel it for a full refund.

SECTION 14: PROHIBITED USES

You may access and use the Services only for lawful purposes. The following activities are expressly prohibited: (a) using the Services for unlawful or malicious purposes; (b) violating any applicable laws or regulations; (c) infringing the intellectual property rights of Salubell or any third party; (d) harassing, insulting, defaming, or intimidating employees or other individuals; (e) submitting false or misleading information; (f) sending spam or similar content; (g) impersonating any person or entity; (h) uploading or transmitting viruses or other malicious code; (i) collecting personal information from other users without their consent; or (j) interfering with the security features of the Services.

We reserve the right to suspend or terminate your account at any time without prior notice if we determine that you have violated any part of these Terms.

SECTION 15: TERMINATION

We may terminate this agreement or discontinue your access to the Services at any time without prior notice, at our sole discretion. Upon termination, you will remain responsible for all amounts owed up to the date of termination.

The sections relating to Intellectual Property, Comments, Limitation of Liability, Indemnification, Governing Law, and Privacy Policy will survive termination.

SECTION 16: LIMITATION OF LIABILITY

To the extent permitted by applicable Spanish law, Salubell will not be liable for any indirect, incidental, special, or consequential damages arising from the use of the Services, except where such limitation is expressly prohibited by consumer protection regulations.

Under no circumstances will this limitation affect any mandatory rights granted to consumers under Spanish or European Union law, including liability for defective products under Royal Legislative Decree 1/2007.

SECTION 17: INDEMNIFICATION

You agree to indemnify and hold harmless Salubell, its affiliates, officers, directors, employees, and agents from any loss, damage, or claim arising from: (1) your breach of these Terms; (2) your violation of any law or third-party right; or (3) your misuse of the Services.

SECTION 18: ONLINE DISPUTE RESOLUTION

In accordance with Regulation (EU) No. 524/2013, we inform you that the European Commission provides consumers with an online dispute resolution platform, available at: https://ec.europa.eu/consumers/odr

For any complaint, we recommend contacting us first at clientes@salubell.com so that we can attempt to resolve the matter amicably.

SECTION 19: SEVERABILITY

If any provision of these Terms is found to be unlawful, void, or unenforceable, that provision will be severed without affecting the validity or enforceability of the remaining provisions.

SECTION 20: WAIVER AND ENTIRE AGREEMENT

Our failure to exercise or enforce any right or provision of these Terms of Service will not constitute a waiver of that right or provision. These Terms, together with the policies published in our store, constitute the entire agreement between you and Salubell regarding your use of the Services.

SECTION 21: ASSIGNMENT

You may not transfer or assign this agreement or any of your rights or obligations without our prior written consent. Salubell may transfer or assign these Terms without your consent, provided that you are notified within a reasonable period.

SECTION 22: GOVERNING LAW AND JURISDICTION

These Terms of Service are governed by Spanish law. Any dispute arising from these Terms will be subject to the jurisdiction of the Spanish courts. If you are acting as a consumer, the court corresponding to your place of residence will have jurisdiction in accordance with applicable consumer protection regulations.

SECTION 23: CHANGES TO THE TERMS OF SERVICE

We reserve the right to update or modify these Terms at any time. We will publish the updated version in our online store and indicate the date of the most recent revision. We will notify you of any material changes in accordance with applicable law. Your continued use of the Services after any changes are published constitutes acceptance of those changes.
